1. Definitions

In these Terms & Conditions, the following terms carry specific meanings. "Service" refers to the AI training programs, consulting engagements, and related activities offered by Orchid Pulse. "User" or "You" refers to any individual or organization accessing our website or enrolling in our programs. "We," "Us," or "Our" refers to Orchid Pulse, located at 789 Phaholyothin Road, Samsennai, Phaya Thai, Bangkok 10400, Thailand. "Content" refers to all text, materials, documentation, and resources provided through our website or within our programs. "Agreement" refers to these Terms & Conditions together with our Privacy Policy and any program-specific enrollment terms.

2. Acceptance of Terms

By accessing our website or enrolling in any Orchid Pulse program, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you are entering into this agreement on behalf of an organization, you confirm that you have the authority to bind that organization to these terms.

You must be at least 18 years of age to use our services. By using this website or engaging with our programs, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement under Thai law.

3. Description of Services

Orchid Pulse provides AI integration training and consulting services tailored for business teams and senior leaders. Our current program offerings include team-oriented AI tool orientations, departmental integration pilots, and executive-level transformation roadmaps with coaching. Program details, timelines, and pricing are described on our website and may be updated periodically.

Our services are primarily available to organizations and professionals in Thailand. Availability of specific programs may vary depending on scheduling and capacity. We reserve the right to modify, suspend, or discontinue any program with reasonable advance notice to enrolled participants.

4. Enrollment and Participation

Enrollment in an Orchid Pulse program is confirmed upon receipt of a completed registration form and applicable payment. Once enrollment is confirmed, we will provide program details including schedule, preparation materials, and access information. Participants are expected to attend scheduled sessions and complete any preparatory activities to gain the full benefit of the program.

Organizations enrolling multiple team members are responsible for ensuring each participant meets any prerequisites communicated prior to the program start date. We may require basic information about participants' roles and experience levels to tailor the program content appropriately.

5. User Responsibilities

When using our website or participating in our programs, you agree to use our services in a professional and respectful manner, provide accurate information when completing forms or registering for programs, refrain from distributing or reproducing program materials without written permission, comply with all applicable Thai laws in connection with your use of our services, and not attempt to gain unauthorized access to any part of our website or systems.

Any conduct that disrupts other participants' learning experience or violates these terms may result in removal from a program at our discretion.

6. Intellectual Property

All content on the Orchid Pulse website and within our training programs—including text, graphics, methodologies, frameworks, toolkits, reference guides, and any other materials—is the intellectual property of Orchid Pulse or its licensors and is protected under Thai and international copyright laws.

Program participants receive a limited, non-exclusive, non-transferable license to use program materials for internal organizational purposes directly related to the training engagement. You may not reproduce, distribute, publicly display, or create derivative works from our materials without express written consent. The toolkit reference guides and protocols developed during a program may be used internally by the enrolled organization but may not be shared externally or resold.

7. Payment Terms

Program fees are listed on our website in Thai Baht (THB). Payment is due upon enrollment unless an alternative arrangement has been agreed in writing. We accept payment by bank transfer and other methods communicated during the enrollment process.

Cancellation and refund policy: If you cancel your enrollment at least 14 calendar days before the program start date, you are eligible for a full refund less a ฿1,000 administration fee. Cancellations made between 7 and 13 days before the start date are eligible for a 50% refund. Cancellations fewer than 7 days before the start date, or non-attendance without notice, are not eligible for a refund. We may reschedule a participant to a future program session at no additional cost if space permits and the request is made at least 7 days in advance.

8. Program-Specific Terms

AI Tools Orientation for Teams: This one-week program is delivered in a group workshop format. The enrolled organization is responsible for providing appropriate workspace and technology access for participants as communicated in the preparation guide. Program materials including the shared toolkit reference guide are for internal use within the enrolling organization only.

Departmental AI Integration Pilot: This eight-week engagement includes a four-week live pilot period. Access to the organization's relevant systems and data may be required for proper tool configuration and monitoring. All organizational data accessed during the pilot is treated confidentially and is not retained beyond the engagement period. The go/no-go recommendation provided at the conclusion of the pilot represents professional guidance, not a commitment of specific outcomes.

AI Transformation Roadmap and Executive Coaching: This sixteen-week program includes both group strategic sessions and individual coaching calls. All discussions and materials shared during coaching sessions are confidential. The organizational transformation roadmap and leadership action plan are delivered to the participating organization for internal use. Coaching sessions may be rescheduled with at least 48 hours' notice; sessions cancelled with less notice will be counted as completed.

9. Disclaimers

Our services are provided on an "as-is" basis. While we design our programs with care and draw on considerable experience in AI integration, we do not make specific claims about the outcomes any particular organization will achieve. The effectiveness of our training and consulting depends on many factors beyond our control, including organizational readiness, participant engagement, and the broader business environment.

The information and guidance we provide should not be taken as legal, financial, or technical advice specific to your regulatory or compliance context. We recommend consulting with qualified professionals in those areas as needed.

10. Limitation of Liability

To the fullest extent permitted by Thai law, Orchid Pulse's total liability arising from or related to these terms or our services is limited to the amount you paid for the specific program giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business opportunities, even if we have been informed of the possibility of such damages.

Nothing in these terms limits our liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Orchid Pulse, its team members, and its partners from any claims, losses, damages, expenses, or liabilities (including reasonable legal fees) arising from your breach of these terms, your use of our services, or any violation of applicable laws in connection with our programs.

12. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a program engagement. This includes business processes, internal data, strategic plans, and any other information reasonably understood to be confidential. This obligation survives the completion or termination of the program engagement and remains in effect for a period of two years thereafter.

13. Termination

Either party may terminate a program engagement by providing written notice. If we terminate an engagement for reasons other than a breach of these terms by the participant, we will provide a pro-rata refund for the unused portion of the program. If we terminate due to a breach of these terms, no refund is owed.

Upon termination, the participant's license to use program materials remains in effect for materials already received, subject to the intellectual property restrictions described above. Sections of these terms that by their nature should survive termination (including confidentiality, limitation of liability, and indemnification) will continue to apply.

14. Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or related to these terms or our services shall first be addressed through informal discussion between the parties. If a resolution cannot be reached within 30 days of written notice of the dispute, either party may refer the matter to the Thai Arbitration Institute for resolution through arbitration in Bangkok, conducted in the English language.

15. General Provisions

Entire Agreement: These terms, together with our Privacy Policy and any program-specific enrollment documents, constitute the entire agreement between you and Orchid Pulse regarding the subject matter herein.

Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights and obligations without restriction.

Notices: Notices under these terms should be sent by email to [email protected] or by mail to our business address.

16. Changes to These Terms

We may revise these Terms & Conditions from time to time. When changes are made, we will update the "Last Updated" date at the top of this page. For active program participants, material changes will be communicated directly. Continued use of our website or services after changes are posted constitutes your acceptance of the revised terms.
